Here, we have constantly ranked as a leading firm. Another related area is Capital Markets where we have acted as legal adviser for more companies having securities listed on the Malta Stock Exchange than all other local firms. The third related area of specialisation in the corporate and commercial realm is privatisations for which we have been engaged as legal advisors, both by the Government of Malta as well as private investors, on more occasions than any other local firm.

Our approach to this part of our practice is reflected in the way that our lawyers deal not only with their specialised areas of practice but also with the day-to-day requirements of our clients. We are constantly engaged in advising clients on all aspects of general commercial and civil law as well as assisting them in the negotiation of contracts from the standard to the most complex. These contracts include transactions such as the sale and purchase of movables, immovables or businesses as going concerns, long- or short-term leases, or the granting of security over movable and immovable property, as well as claims in tort.

The depth of our experience enables us to offer advice on the most complex domestic and international commercial transactions. On international commercial transactions we work closely with leading international counsel.

Commercial contracts

Our long-standing exposure to the commercial community and our experience in providing general commercial advice to corporates and the business community generally has enabled us to develop an understanding of and sensitivity for the needs of our clients and their commercial entities. These arequalities which remain a hallmark of our practice. Our commitment goes beyond the provision of strict legal advice. We provide pragmatic and strategic legal advice that adds value to our clients’ business.  We develop our lawyers to understand the needs and demands of our clients and to evaluate the risks associated with a transaction. In so doing, we provide customized solutions, aligned to the strategic business needs of our clients within the context of their day-to-day operations.

We advise our clients on a broad range of commercial agreements in a range of industry and commercial sectors.  We act on transactions featuring levels of sensitivity, complexity and novelty that warrant the delivery of carefully crafted documentation to meet the particular needs of the transaction and the client. 

Corporate governance & risk management

Ever since the first corporate governance rules were promoted by the Malta Stock Exchange in 1992, we have been actively involved in the creation and development of best practices in corporate governance in Malta.  We assist our clients, both listed and unlisted, in keeping up-to-date with corporate governance procedures and developments. We frequently advise on the development of corporate governance regimes, investor protection committee guidelines, Listing Rules, Disclosure and Transparency Rules and Corporate Governance Code compliance.

Our work includes on-going advice to listed companies relating to compliance with the Listing Rules generally as well as the code of good corporate governance under the Listing Rules, the setting-up of and formulating procedures for audit committees and other committees set up by the board of directors as required in terms of the Listing Rules. We also assist clients with development programmes for non-executive directors, directors’ remuneration policies and board structures.  Our experience in this area has also developed in advising unlisted clients in developing programmes and structures for corporate governance, particularly within family companies in their third and fourth generation.

Insolvency & corporate recovery

Our corporate practice involves not only acting for several banks and other creditors facing the impending or actual insolvency of debtors, but also acting for companies in financial difficulties that are looking to put their business back on track. This exercise can typically involve a restructuring or refinancing plan, or a group reorganisation. We have a comprehensive understanding of the differing standpoints and interests that arise as a result of these issues and we are able to fully advise all parties involved, including the company itself and company directors.

We have also advised and acted for administrators and liquidators appointed for the purpose of conducting the liquidation process of a company approaching - or in a state of - insolvency. Following the collapse of a major Maltese supermarket chain, we were engaged as counsel for the liquidator in what have been noted as the most important and high-profile insolvency proceedings ever brought before the Maltese Courts (the Price Club creditors case).
